How do you hold your shares?
How you own MFIN determines what arrives in your mail and how you vote the BLUE card.
Beneficial Owner (MOST STOCKHOLDERS)
You hold MFIN through a brokerage account — Fidelity, Schwab, Robinhood, E*Trade, Vanguard, and similar. You'll receive a Voting Instruction Form (VIF) from your broker (Broadridge typically sends these via email from id@proxyvote.com). Vote BLUE through your broker's voting link or at proxyvote.com using the control number on your VIF.
VOTE NOWRegistered Owner (LESS COMMON)
You hold MFIN shares directly on the company's books through the transfer agent. You'll receive the actual BLUE proxy card in the mail. Vote at proxyvoting.com/MFIN using the control number printed on your BLUE card, or by phone or mail.

Why the BLUE card matters
You may receive two cards in the mail — one BLUE and one WHITE. Both cards list all six nominees, which means you can technically vote for Eric Kelly, John Kiernan, and Tim Shanahan on either one.
We're still asking you to use the BLUE card. It's our slate's official ballot — it carries our recommendations and sends a clear signal of support for change. Vote BLUE and discard the WHITE one.
Already voted on the WHITE card? You can still vote on the BLUE card. Your most recently dated proxy is the one that counts, so a later BLUE vote replaces an earlier WHITE one.
Voting BLUE doesn't lock you out of voting on other proposals. The card includes every item up for a vote at the meeting.

Can I vote for BIMIZCI's nominees on Medallion's WHITE card?
Technically, yes — both cards list all six nominees, so you could mix and match on either one. We're still asking you to use the BLUE card. It's our slate's official ballot, sends a cleaner signal of support for change, and our materials direct stockholders to use it. If you want new leadership at Medallion, vote BLUE.
What if I already voted on the WHITE card?
You can still vote on the BLUE card. The most recently dated proxy is the one that gets counted, so a later BLUE vote replaces an earlier WHITE vote. Just complete a BLUE card by phone, online, or mail — whichever is easiest.
What is the record date and what does it mean?
The record date is the cutoff date that determines who is eligible to vote at the annual meeting. For Medallion's 2026 Annual Meeting, the record date is April 13, 2026. If you owned Medallion shares at the close of business on April 13, 2026, you are entitled to vote — regardless of whether you still own those shares today. If you became a Medallion stockholder after April 13, 2026, you are not eligible to vote at this meeting. The record date matters because it gives the company and proxy solicitors a fixed list of stockholders to mail materials to and tally votes from. It's set in advance and does not change.
I sold my shares after the record date. Can I still vote?
Yes. If you held Medallion shares at the close of business on the record date — April 13, 2026 — you are entitled to vote at the 2026 Annual Meeting, even if you have since sold those shares. Your right to vote is determined by who held the shares on the record date, not who holds them at the time of the meeting. If you sold after April 13, 2026, you should still expect to receive proxy materials (including a BLUE universal proxy card) and you should still vote them. If you didn't hold shares on April 13, 2026, you are not eligible to vote at this meeting — even if you own Medallion shares today. Can I vote at the meeting in person?
Yes, but you don't need to. Voting by phone, online, or mail before June 9 is the easiest path and produces the same result. If you do attend, bring identification and proof that you owned shares as of the record date.
What's the deadline?
Phone and online votes generally close at 11:59 PM Eastern the day before the meeting (June 8, 2026). Mailed BLUE cards must arrive in time to be counted at the meeting on June 9, so allow at least a week for delivery.
Who is Sodali?
Sodali & Co. is the independent proxy solicitor working with our campaign. They help stockholders understand the materials, answer questions about voting mechanics, and replace lost BLUE cards. They can't tell you how to vote — only how to vote.
Do I have to vote for all three nominees?
No — the BLUE card lets you vote for any combination of directors, including some of BIMIZCI's nominees and some of the existing board's. We're asking stockholders to vote for all three of our nominees — Eric Kelly, John Kiernan, and Tim Shanahan — because we believe the company needs all three skill sets. But the choice is yours, and the BLUE card gives you that flexibility.
What is "say on pay" and how should I vote?
"Say on pay" is a non-binding advisory vote that public company stockholders take each year on the compensation paid to the company's senior executives. The vote doesn't change pay directly, but it sends a signal to the board's compensation committee about whether stockholders approve of how leadership is being paid. BIMIZCI recommends voting AGAINST the proposal to approve Medallion's 2025 executive compensation. Medallion's CEO and senior team have been paid substantial sums even as the stock has underperformed and the company has faced regulatory and operational challenges. A vote against say-on-pay tells the board that this disconnect between pay and performance is not acceptable to stockholders. Your BLUE universal proxy card includes a section for the say-on-pay vote alongside the director election. Both votes happen on the same card.
What is the auditor ratification vote?
Each year, public companies ask stockholders to ratify the appointment of their independent auditing firm. For 2026, Medallion's board has appointed Plante & Moran, PLLC as the company's independent registered public accounting firm. BIMIZCI recommends voting FOR the ratification of Plante & Moran. The auditor question is separate from the questions about Medallion's leadership and direction, and BIMIZCI has no objection to the appointment of this auditing firm.
